Terms of Service

Terms governing use of the VisionAtlas application and related services.

Effective July 25, 2026

These Terms of Service ("Terms") govern access to and use of the VisionAtlas application and related services (the "Service") provided by VisionAtlas ("VisionAtlas," "we," "us"). By creating an account, clicking to accept, or using the Service, you agree to these Terms on behalf of yourself and the organization you represent ("Customer").

If you do not agree, do not use the Service.

1. The Service

VisionAtlas provides software for company performance management, including goals, KPIs, initiatives, weekly updates, collaboration features, analytics, and optional AI-assisted insights. Features may vary by subscription plan. We may update the Service from time to time.

2. Accounts and eligibility

You must provide accurate registration information and keep credentials confidential. You are responsible for activity under your account. Customer administrators may manage users within their workspace. You must comply with applicable laws and these Terms.

3. Customer content

Customer retains ownership of data submitted to the Service ("Customer Content"). Customer grants VisionAtlas a limited license to host, process, and display Customer Content solely to provide and improve the Service, including AI features Customer enables.

Customer is responsible for Customer Content and for obtaining rights and consents needed to submit it.

4. Acceptable use

You may not:

  • Use the Service unlawfully or to infringe others' rights
  • Attempt to bypass security, access other tenants' data, or probe systems without authorization
  • Upload malware or interfere with Service operation
  • Misrepresent identity or resell the Service except as permitted in an order form
  • Store, process, or transmit protected health information (PHI) as defined under HIPAA, or other patient or clinical records, in the Service

The Service is not a HIPAA-covered offering and VisionAtlas does not enter business associate agreements for PHI. Healthcare and life-sciences customers may use the Service only for workforce, operational, and business performance data—not for patient care records or identifiers tied to clinical treatment.

We may suspend or terminate access for violations or risk to the Service or others.

5. Subscriptions and payment

Paid plans are billed in advance according to the plan selected (monthly or annual). Fees are processed through Stripe unless otherwise agreed in writing. Taxes may apply.

Trials. Free trials convert to paid subscriptions unless canceled before the trial ends, as disclosed at signup.

Changes. We may change prices for renewal terms with notice as required by law or contract.

Cancellation. Customer may cancel through billing settings or the Stripe customer portal where available. Cancellation stops future charges; access may continue through the paid period unless otherwise stated.

Refunds are handled according to our published refund policy or applicable law, unless a separate agreement applies.

6. Enterprise and custom agreements

If Customer executes a separate master subscription agreement, order form, or data processing agreement with VisionAtlas, those documents control in case of conflict with these Terms for that Customer.

7. Confidentiality and security

We treat Customer Content as confidential and implement reasonable safeguards described in our security documentation. Customer is responsible for configuring roles, permissions, and integrations appropriately.

8. AI and third-party services

The Service may integrate with third parties (for example, identity providers, analytics sources, email, SMS, and AI providers). Those services are subject to their own terms. AI-generated output may be inaccurate; Customer should review before relying on it for decisions.

9. Disclaimer

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY LAW, VISIONATLAS DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

10. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, VISIONATLAS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, DATA, OR GOODWILL. OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF THESE TERMS OR THE SERVICE WILL NOT EXCEED THE AMOUNTS PAID BY CUSTOMER TO VISIONATLAS FOR THE SERVICE IN THE TWELVE (12) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR ONE HUNDRED U.S. DOLLARS ($100) IF NO FEES WERE PAID.

Some jurisdictions do not allow certain limitations; in those cases, limits apply to the fullest extent permitted.

11. Indemnity

Customer will defend and indemnify VisionAtlas against third-party claims arising from Customer Content or Customer's use of the Service in violation of these Terms or applicable law, except to the extent caused by VisionAtlas's gross negligence or willful misconduct.

12. Term and termination

These Terms remain in effect while Customer uses the Service. Either party may terminate for material breach if not cured within a reasonable period after notice. Upon termination, Customer's access ends and we may delete Customer Content after any contractual retention period.

13. Governing law

These Terms are governed by the laws of the State of Delaware, USA, excluding conflict-of-law rules, unless mandatory local law requires otherwise. Courts in Delaware will have exclusive jurisdiction for disputes, except that either party may seek injunctive relief in any court of competent jurisdiction.

14. Changes to Terms

We may modify these Terms by posting an updated version on this page. Continued use after the effective date constitutes acceptance where permitted by law. For material changes, we may provide additional notice.
